Invest With Righting Group

Partner With Us to Acquire and Grow Essential Lower Middle Market Businesses

Righting Group partners with investors on a deal-by-deal basis to acquire and grow founder-owned businesses in the lower middle market. We focus on essential service and industrial businesses where succession, operational improvement, and long-term leadership can create meaningful value.

As an independent sponsor, we do not raise pooled capital. Instead, we source and structure individual acquisition opportunities and present them to investors for review. This gives our partners the ability to evaluate each transaction on its own merits and participate only in opportunities that align with their investment goals, criteria, and risk tolerance.

Why Invest With Righting Group?

Deal-by-Deal Investment Access

Investors are not asked to commit to a blind pool fund. Each opportunity is presented individually, allowing investors to review the business, diligence materials, transaction structure, and return profile before making a commitment.

Independent Sponsor Advantage

Our independent sponsor model allows us to remain selective, flexible, and highly aligned with investors. Without a traditional fund structure, we are not pressured to deploy capital for the sake of activity. We pursue opportunities where we believe there is a strong fit, a clear path to value creation, and the ability to support the business after close.

Investor-Aligned Economics

Righting Group does not charge management fees on investor capital. Our economics are tied to deal execution and long-term value creation, which helps align incentives around performance rather than asset gathering.

Hands-On Operating Support

We are not passive buyers. Righting Group brings operational discipline, financial management, process improvement, and leadership support to the businesses we acquire. Our goal is to help each company transition successfully, strengthen its foundation, and continue growing under long-term ownership.

Our Approach to Value Creation

Building on What Already Works

Many lower middle market businesses have strong customer relationships, capable teams, and years of hard-earned reputation. Our approach is not to strip away what made the business successful. It is to build on that foundation.

Righting Group works to improve performance through stronger financial visibility, better operating systems, clearer accountability, process improvement, technology adoption, and strategic leadership. The goal is to help good businesses become stronger, more scalable, and better positioned for the future.

How Investors Participate

A Transparent Deal Process

Righting Group leads the acquisition process from sourcing through closing while giving investors access to the information needed to evaluate each opportunity.

1. Opportunity Review

We identify and evaluate potential acquisitions through broker relationships, proprietary outreach, industry contacts, and professional networks. Opportunities are reviewed for quality, fit, risk, and value creation potential.

2. Investment Materials

For opportunities that advance, investors receive a detailed investment overview, relevant diligence materials, financial information, proposed transaction structure, and supporting analysis.

3. Investor Commitment

Investors decide whether they want to participate in the specific transaction. There is no obligation to invest in every opportunity.

4. Closing and Ownership

Once commitments are finalized, Righting Group coordinates financing, documentation, closing, and transition planning. After close, we work with the business to support leadership, operations, and long-term growth.

Flexible Deal Structures

Built Around the Business and the Opportunity

Every transaction is different. Righting Group structures deals based on the needs of the business, the objectives of the seller, lender requirements, and investor alignment.

Potential financing sources may include sponsor equity, investor co-investment, senior debt, SBA financing, mezzanine or private credit, seller financing, earnouts, or seller rollover equity. This flexible approach allows us to create structures that support both a successful seller transition and a strong investment foundation.

Why Lower Middle Market Opportunities?

Lower middle market businesses often operate in essential industries with durable demand, strong local or regional reputations, and meaningful room for operational improvement. Many are founder-owned companies approaching a transition point, creating opportunities for thoughtful ownership, stronger systems, and continued growth.

For investors, this creates access to private businesses that are not available in public markets and are often overlooked by larger institutional buyers.
